The description of the Amended and Restated Bylaws (as defined below) included under Item 5.03 of this Current Report on Form 8-K is incorporated into this Item 3.03 by reference.

 

Item 5.03 Amendments to Articles of Incorporation of Bylaws; Change in Fiscal Year.

 

On March 14, 2023, FTE Networks, Inc. (the “Company”) accepted delivery of a series of written consents from shareholders constituting a majority of all shares eligible to vote, approving the Second Amended and Restated Bylaws of the Company (the “Amended and Restated Bylaws”). The purpose of the Amended and Restated Bylaws is, among other things, to modernize and update the Company’s bylaws to (a) conform to Nevada and other applicable law; (b) reflect developments in company governance; (c) remove certain outdated provisions; (d) clarify certain corporate procedures; and (e) conform language and style.
