Item 5.07.  Submission of Matters to a Vote of Security Holders.
 
Beacon Enterprise Solutions Group, Inc. (the “Company”) held its Annual Meeting of Stockholders on May 26, 2011 (the “Annual Meeting”).  At the Annual Meeting, the Company’s stockholders (1) elected the three people listed below to serve as directors for a term of one year expiring at the 2012 Annual Meeting of Stockholders and until their successors are duly elected and qualified, (2) ratified the appointment of Marcum LLP to serve as our independent registered public accounting firm for 2011, and (3) approved a resolution to reserve and authorize an additional 1,000,000 shares of the Company’s Common Stock under the 2008 Long-Term Incentive Compensation Plan for Beacon’s non-executive employees.
